  • Conducted due diligence and helped numerous clients with assessing potential business acquisitions, along with helping sellers conduct due diligence on buyers, especially when buyer is offering an earnout or other types of employee benefits, such as unit appreciation rights.

  • Revised and negotiated asset purchase agreements for the sale of a health and wellness franchise, a digital media empire, medical practices, surgery centers, professional services businesses, manufacturing, and marketing companies.

  • Advised client about business opportunity issues in terms of acquisitions through their legal entity and the requirement of notifying business partners (as set forth in the operating agreement).

  • Assisted clients with large-scale acquisitions of millions of dollars in medical equipment, through drafting, reviewing and negotiating purchase and sale agreements, escrow instructions, including facilitating deal between buyer, seller and middlemen, and provided paymaster services.

  • Represented client in lease negotiation and new construction on creating a surgery center in a commercial office space, with expenses shared by the landlord.

  • Co-counseled with securities attorney in creating private placement memorandums (PPMs), unit exchange agreements, financing checklist, and subscription agreement.

Employment

  • Assisted client with dealing with a difficult employee and answering many California law questions, including on moonlighting.

  • Drafted and negotiated employee’s offer letters, employment agreements and separation and releases.

  • Advised client on how to deal with the CA Employment Development Department’s (EDD) letters and matters.

  • Advising clients about new California’s new labor laws: the AB5 employee v. independent contractor rules, and amended and revised worker agreements, along with researching alternatives.

  • Negotiating severance benefits for employees to increase benefits upon departure from employment.

  • Researching various state child labor law issues for models in the entertainment industry and advised clients.

  • Drafted numerous agreements for workers, including offer letter, employment agreements, employee handbook, independent contractor agreements, fellowship agreements, releases and other employment documents.

  • Drafted holiday party and event policies, waivers, and releases to protect employers.

  • Counseled clients on the differences between exempt vs. non-exempt employees and how to prepare agreements, and pay in accordance with onerous California laws.

  • Represented clients in having to terminate employees on the spot, including meeting with the employee on the client’s behalf, or advising from afar, and answering labor law questions concerning final paycheck, getting severance agreement signed, and how to get company equipment returned.

  • Advised clients on setting up and implementing both independent contractor and employee incentive plans.

  • Led company’s sexual harassment investigation and resulting employee termination, including dealing with the terminated employee’s retained counsel, resulting in a successful transition.

  • Represented several physician-employees in their resignation/departure from a medical practice and assisted them with maintaining their right to continue their physician-patient relationship in a smooth manner with their former employers.

  • Counseled clients on how to deal with employee resignations using separation and release agreements and severance pay, while recovering and protecting important company documents, devices, and data.

Healthcare Law

  • General Counsel for a multi-state medical spa, including advising on corporate governance issues, forming new entities, healthcare regulatory compliance, drafting agreements, advising on transactions, intellectual property, advertising and employment law issues.

  • Structured many medical spas, both the professional medical corporation for the physician(s) (or other professional entities, including nursing corporations and physician assistant corporations), along with the contracted management services organizations (“MSO”), including advising about structuring, ownership requirements, entity formation, drafting the management services agreement (“MSA”), medical director agreement, license agreement, sublease, business associate agreement, restricted stock purchase agreement/assignable option,, security agreement, and other medical practice and corporate documents, not only in California, but with co-counsel, in other states, including, Nevada, Arizona, New York, Florida, and Texas.

  • Negotiated numerous partnership agreements, including a physician partnership agreement, while advising the client about Stark/Anti-kickback laws.

  • Negotiated a clinical study agreement for a physician, along with corresponding billing arrangement.

  • Advised physician client about the issues with becoming the medical director for a medical spa, while also counsel for medical spas and able to seal the deal with physicians to become medical directors for the medical entities entering into management services agreements with medical spa (management services organizations).

  • Assisted plastic surgeons and other professionals with contracting with aestheticians/estheticians and other allied health professionals by drafting and negotiating proper agreements.

  • Resolved multi-million-dollar personal dispute that involved negligence, concealment/ misrepresentation, sexual battery, intentional infliction of emotional distress and domestic violence.

  • Settled case for a healthcare client who was sued by one of the nation’s largest retailers involving breach of contract and insurance claims, for only a fraction of the amount of the claim, including legal costs.

  • Obtained a settlement on behalf of a physician inventor- investor in a million-dollar contract for a technology business, without having to file a complaint or submit to ADR.

  • Resolved various employment and partnership disputes on both sides of the table, through representing business owners/employers, employees and independent contractors.

  • Settled a vendor collections dispute by enforcing the terms of the agreement with client and vendor and getting payment for client within 2 weeks of initial outreach.

  • Successfully defended physician in a purported laser burn medical malpractice dispute, in which the patient failed to file a claim prior to the legal deadline, as a result of an aggressive defense strategy.

  • Represented clients in responding to third-party subpoenas for patient medical information and other legal documents.

  • Represented the financier and settled matters in several production disputes in which the producer/production company mismanaged the production, breached the production services agreement, and funds were misappropriated.

  • Represented physician in the enforcement of a release after patient attempted to extort practice and demand more money.

  • Represented a party who discharged and terminated representation with a contingency fee lawyer, and was able to convince the litigator to agree to forgo his contingency fee after 9 months of representation (maintaining a flat fee instead), so the client could retain new counsel and not pay a contingency fee.

  • Represented a California business client who received a cease-and-desist letter for alleged copyright infringement from German lawyer, Marcin Zieliński, representing an Italian photographer.

  • Represented clients in arbitrations as parties and obtained settlements prior to arbitration award, and also represented witnesses in arbitrations to protect their interests.

  • Counseled client about responding to a slip-and-fall injury incident in the workplace.

  • Assisted client with responding to a “Notice of FDA Action” letter concerning pharmaceuticals that were detained.

  • Advised physician client on how to handle healthcare insurance fraud on the part of a patient who changed information on superbills and then submitted to an insurance carrier.

  • Represented a medical spa against a patient who wrote a defamatory Yelp review, to which we sent a cease and desist. But she revised her review, so we then drafted a public response on behalf of client, and she deleted her review.

  • Represented medical practice in arbitration with the American Arbitration Association (AAA) with Independent Physician Association (“IPA”) over capitation billing and payment issues.

  • Represented client in dispute with competitor who was violating website terms, colluding with client’s customer in infringing materials, tortiously interfering with business, and breaching license agreement.

  • Represented client in business partner dispute in unfolding transaction that had been entered into without counsel, and settling through new legal documents to better protect client, and save tens of thousands of dollars in taxes, and receive payoff of over 1 million dollars, while exiting without liability.

  • Represented client in dispute with accounting firm that was negligent with client taxes in correcting mistakes and taking on liability for amending returns.

  • Assisted client with resolving dispute with medical practice management vendor (EHR/EMR record storage and payment processor).

  • Counseled med tech client on payment processor dispute in terms of settlement, litigation, and regulatory options, including filing complaints with Fincen, the OCC, and the FDIC.

  • Settled dispute with one of the largest contact and intelligence management databases after it was alleged that client violated the Computer Fraud and Abuse Act, the Copyright Act, Defend Trade Secrets Act, and a state’s Uniform Trade Act.
